Filing the annual accounts with the KVK

Filing is a legal obligation with a hard deadline, and filing late is an economic offence. We prepare the annual accounts (jaarrekening), file them on time and keep track of the date for you.

What you can expect from us

  • One fixed amount - no additional charges afterwards
  • Corporate income tax and filing monitored
  • One fixed contact person with management experience

Arranged in 3 steps

  1. You request the quote

You tell us what your BV (the Dutch private limited company) looks like: holding company or not, number of invoices, payslips. Within one business day you have a fixed monthly amount.

  2. We collect the administration

Agreed? Then we contact your current firm and arrange the handover. All you provide is your approval, nothing else.

  3. Your administration keeps running

From that moment on we monitor the tax returns and the filing. You always speak to the same finance professional and know every month what you pay.

When do you have to file the annual accounts with the KVK?

Filing the annual accounts with the KVK is a legal obligation for every BV in the Netherlands. On the overview page Annual accounts BV: preparing, filing and deadlines you can read how preparing, filing and the associated deadlines work together. On this page we focus specifically on everything you need to know about the filing itself: the deadline, the procedure, what exactly has to be submitted and what happens if you are late.

The standard deadline for filing the annual accounts with the Chamber of Commerce is twelve months after the end of the financial year. If your financial year ends on 31 December 2025, the annual accounts must be filed by 31 December 2026 at the latest. Within those twelve months there is an internal obligation: the board of the BV must first prepare the annual accounts within five months after the end of the financial year and adopt them within six months after that. Once adopted, you then have eight business days to actually submit the documents to the KVK. In practice the maximum filing deadline of twelve months is treated as the outer limit, but within that limit there are intermediate steps you may not skip.

The shareholders can grant the board an extension for preparing the annual accounts, of up to five extra months. That brings the total deadline for filing the annual accounts to a maximum of seventeen months. This extension does have to be granted formally before the original five-month period expires. You can read exactly how the deadlines and the extension work on the page Deadlines annual accounts BV: periods and extension.

If you file late or not at all, the consequences are serious. In the event of bankruptcy, late filing counts as evidence of improper management, which means you as the director-major shareholder (DGA) can be held personally liable for the debts of the BV. You also risk a fine. The exact consequences and fine amounts are set out on the page Not filing and consequences and on the page Costs of annual accounts BV and consequences of late filing.

File the annual accounts with the KVK yourself or outsource it?

You can file the annual accounts with the KVK yourself via the online portal of the Chamber of Commerce. To do so you log in with eHerkenning, upload the adopted annual accounts in the XBRL format that the KVK requires, and confirm the submission. It sounds simple, but there are a number of pitfalls. First, the annual accounts must already have been prepared and adopted before you can file them. Second, the content has to comply with the reporting rules that apply to your size class (micro, small, medium-sized or large). Small BVs may file a more limited set of annual accounts than medium-sized or large ones, but minimum requirements apply to small BVs too. You can read which obligations apply per size on the page Annual accounts BV: obligations per size.

Filing the annual accounts with the KVK yourself is therefore only sensible if you are certain that the annual accounts have been prepared correctly, have been fully adopted by the shareholders and are available in the right format. In most cases that means: if your bookkeeper or accountant has prepared everything and you only carry out the submission. If you handle the entire chain yourself, from bookkeeping to filing, the chance of mistakes is greater than you expect. An incorrect or incomplete filing counts legally as a late filing, with all the consequences that entails.

At Nummerix we handle the entire chain for BVs. We prepare the annual accounts, monitor the internal deadlines for preparing and adopting them, and take care of the actual filing with the KVK. You do not have to log in yourself or understand a file format. Filing is a standard part of our service and is covered by your fixed monthly amount. There are no separate invoices for the annual accounts or the filing afterwards.

Do you have a specific legal form besides the standard BV, for example a cooperative or a foundation running a business? Then the filing rules may differ. See the page Specific legal forms for that. If you want to know exactly what has to be filed and why that obligation exists, the page What and why you file explains it step by step. For a full overview of the obligations and fines that apply if you do not file on time, we refer you to the page Mandatory and fines.

Would you rather stop keeping track yourself of when you have to file, what you have to submit and whether your annual accounts meet the requirements? Then request a no-obligation quote. Within one business day you will know what your fixed monthly amount will be, including annual accounts and filing.

FAQ

Frequently asked questions

When do I have to file the annual accounts with the KVK?

The final deadline for filing the annual accounts with the KVK is twelve months after the end of the financial year. If your financial year ends on 31 December 2025, the filing must take place by 31 December 2026 at the latest. Within those twelve months there are intermediate steps: preparing within five months and adopting within six months after the end of the financial year. Once adopted, you have eight business days for the actual submission. Shareholders can grant the board an extension for preparing the accounts, which can bring the total deadline to a maximum of seventeen months.

Can I file the annual accounts with the KVK myself?

Yes, that is technically possible via the online portal of the Chamber of Commerce. You need eHerkenning for that and the annual accounts must be supplied in the XBRL format. The condition is that the annual accounts have already been prepared correctly and formally adopted by the shareholders. An incorrect or incomplete filing counts legally as a late filing. If you carry out the entire chain yourself, the chance of mistakes is greater than you expect.

What happens if I do not file the annual accounts on time?

Filing late or not at all has serious consequences. In the event of bankruptcy, late filing automatically counts as evidence of improper management. As a result, you as the DGA can be held personally liable for the debts of the BV. You also risk a fine from the KVK. You can read the precise consequences and fine amounts on the page about not filing and consequences.

Is filing the annual accounts mandatory for every BV?

Yes. Every BV in the Netherlands is legally obliged to file its annual accounts with the Chamber of Commerce. There are no exemptions based on size or turnover. What does differ per size class is the content of what you have to file: micro BVs and small BVs may file a more limited version than medium-sized or large BVs.

Does Nummerix also handle the filing if I take the full package?

Yes. Filing the annual accounts with the KVK is a standard part of our service for BVs. We prepare the annual accounts, monitor the deadlines for preparing and adopting them, and take care of the actual submission. You do not receive a separate invoice for this; it is covered by your fixed monthly amount.
