When does a BV make more sense than your sole proprietorship?
The question of when to convert a sole proprietorship into a BV comes down to two things: your tax burden and your risk. With a sole proprietorship you pay income tax on your profit, rising to 49.5 percent in the top bracket. A BV pays corporate income tax (vennootschapsbelasting, VPB) on its profit, and you as the director-major shareholder (DGA) pay income tax on your salary and dividend. At a profit of roughly 100,000 euros or more per year, the combined tax burden via a BV is in many cases lower than via a sole proprietorship. This is the so-called tipping point, but the exact threshold depends on your personal situation, your costs and whether you want to retain profit in the company or pay it out straight away.
Besides tax, liability plays a major role. As a sole proprietor you are personally liable for all debts of your business. With a BV that liability risk is in principle limited to the company's assets, as long as you act carefully as a director. For entrepreneurs who are growing, taking on staff or signing larger contracts, that separation between private and business assets is often the decisive argument. FAQ
Frequently asked questions
When does it make sense to convert my sole proprietorship into a BV?
There is no universal threshold, but at an annual profit of roughly 100,000 euros or more, the combined tax burden via a BV starts to work out lower than via a sole proprietorship in many situations. Besides tax, liability, growth ambitions and the wish to retain profit in the company all play a role. In a 30-minute introductory call we discuss your specific situation and give you a concrete picture of the tipping point in your case.
What is a tax-neutral transfer (geruisloze inbreng) and why is it advantageous?
With a tax-neutral transfer you move your sole proprietorship into the BV without paying tax at that moment on hidden reserves or goodwill. Those tax claims carry over to the BV. As a result, you do not have to settle a large tax bill before your BV gets going. The tax authority (Belastingdienst) sets conditions for this route, laid down in the decree on tax-neutral transfers (Besluit geruisloze inbreng). We make sure all conditions are met and that the declaration of intent is filed on time.
Can I convert my sole proprietorship into a BV with retroactive effect?
Yes, with a tax-neutral transfer retroactive effect is possible back to 1 January of the current year. For that you have to file a declaration of intent with the tax authority, usually within three months of the intended effective date. If you wait too long, the option of retroactive effect lapses for that year. So get in touch as early as possible if you want the conversion to take effect in 2026.
What does it cost to convert a sole proprietorship into a BV?
The one-off costs consist of notary fees for the incorporation (roughly 800 to 1,500 euros excl. VAT, depending on the notary) and the cost of guidance through the transfer process. Nummerix offers the transfer process as a separate project for a fixed price excl. VAT that you receive in advance. After that you pay a fixed monthly fee for the ongoing BV bookkeeping. Request a quote for an exact figure for your situation.
Does Nummerix also arrange the incorporation of the BV at the notary?
No. Incorporating a BV, including executing the deed and registering with the Chamber of Commerce (KVK), is notarial work. The notary does that. We guide you through the preparation, draw up the documents needed for the transfer and take everything over as soon as your BV is registered: bookkeeping, VAT returns, corporate income tax, the annual accounts (jaarrekening) and payroll.
I already have a bookkeeping firm. How does switching to Nummerix work?
We arrange the switch. As soon as you agree, we contact your current firm and collect the records. You barely have to do anything yourself. We make sure no gap falls in your tax returns or deadlines. On average the switch costs you less than an hour of your own time.
